Non-disclosure agreement

The terms under which the company profile is released, in full, for reading and printing.

Version 1.5, effective 9 October 2026

  1. This agreement is between Dube & Shandukani Ventures (Private) Limited, a company incorporated in Zimbabwe with its registered office at 785 Pomona Estate, Harare, and its office at 14 Thornburg Avenue, Groombridge, Mount Pleasant, Harare, Zimbabwe, and the person accepting it on the request page on behalf of the company they name. Its purpose is to let the recipient evaluate a possible commercial relationship with the company. Either side may share information under it, and the obligations below apply to whichever of them receives it. The person accepting this agreement warrants that they are authorised to accept it on behalf of the company they name and to bind that company to it, and they accept it in their personal capacity if that warranty proves untrue.
  2. Confidential Information means the company profile released through the request page, anything either side marks as confidential when it shares it, and anything a reasonable person would treat as confidential in the circumstances. It covers information in any form, written, spoken, on screen or in a file.
  3. Confidential Information does not include anything that is already public through no fault of the recipient, that the recipient already lawfully held, that the recipient develops independently without using it, or that reaches the recipient from someone else who is free to share it. A recipient relying on this clause should be able to show which of these applies.
  4. The recipient will use Confidential Information only for the purpose in clause 1. It may be shown to the recipient’s own officers, employees and professional advisers who need it for that purpose and who are bound by duties at least as strict as these. The recipient remains responsible for what those people do with it. The recipient will keep it with reasonable care and will tell the company promptly if any of it is disclosed, lost or taken without permission.
  5. The recipient may disclose Confidential Information where the law or a court requires it. Where it is lawful to say so, the recipient will tell the company before disclosing, so that the company can object or ask for the information to be protected. The recipient will disclose only what is required.
  6. On written request the recipient will return or destroy the Confidential Information it holds, including copies, and confirm in writing that it has done so. It may keep one archival copy where the law or a professional rule requires one. This agreement continues to apply to that copy for as long as it is retained, notwithstanding clause 8.
  7. Nothing in this agreement gives the recipient any right or licence in the company’s information, and neither side is obliged to enter into any transaction. The profile is released for evaluation only. The company does not warrant that it is complete or accurate, and nothing in it is an offer of shares or an invitation to invest.
  8. These obligations last for three years from the date the recipient accepts this agreement. Anything that remains confidential by law, including personal information protected under the Cyber and Data Protection Act [Chapter 12:07], remains protected for as long as that law requires.
  9. This agreement is governed by the law of Zimbabwe, and the courts of Zimbabwe have exclusive jurisdiction over any dispute about it. It is accepted on the request page by giving a name, the organisation represented, the role held in that organisation and an email address, by confirming the statement of authority in clause 1, and by ticking the acceptance box and submitting the form. The company keeps a record of that acceptance: the name, organisation, role and email address given, the confirmation of authority, the version accepted, a fingerprint of the exact wording accepted, and the time of acceptance, as described in the privacy notice.
  10. The parties agree that damages alone may not be an adequate remedy for a breach of this agreement. In addition to any other remedy available to it, the injured side may apply for an interdict or other urgent relief to restrain a breach or a threatened breach, without having to prove special damage. Nothing in this agreement fixes a sum payable on breach, and no clause of it is intended to operate as a penalty stipulation.
  11. If any part of this agreement is found to be unenforceable, that part is to be read down so far as is needed to make it enforceable, and severed if it cannot be. The rest of this agreement continues to apply unchanged.
  12. This agreement is the whole of what the parties have agreed about confidentiality, and it replaces anything said or written about confidentiality before it. It may be changed only in writing agreed by both sides. Nothing in this clause limits any liability for fraud or fraudulent misrepresentation.
  13. A notice under this agreement is to be given in writing. A notice to the company may be delivered to its registered office at 785 Pomona Estate, Harare, or to its office at 14 Thornburg Avenue, Groombridge, Mount Pleasant, Harare, or sent by email to info@dubeshandukani.com. A notice to the recipient may be sent by email to the address given when this agreement was accepted. The recipient will tell the company in writing if that address changes. A notice sent by email is treated as given on the next working day after it is sent, unless the sender is told that it was not delivered.

This page is for reading and printing. The agreement is accepted on the request page, where the same clauses are shown beside the form. Ticking the box there records who accepted, when, which version, and a fingerprint of the exact wording accepted.
