Partnering

How to partner

What the company brings, what it looks for, and the path from enquiry to agreement.

We are a small company that works with larger ones. We bring a gold buying permit, a route that ends at Fidelity Gold Refinery, mining and civil capability, and the relationships that make a transaction possible in Zimbabwe. We look for capital, equipment and offtake.

Four kinds of partnership

Partnership here means a joint venture, an offtake, equipment supply, or working capital against a share of margin, at project or division level. The structure follows the deal rather than the other way round.

From enquiry to agreement

Four steps take you from an enquiry to a signed agreement.

1. You make contact. Use the contact page to say which division or project interests you and roughly what you would bring. We aim to reply within two working days and say whether there is anything worth discussing.

2. A first conversation. We discuss what you want, what we have, and whether the two meet.

3. The non-disclosure agreement, and the profile that follows it. You accept the agreement, and the full company profile is released to you. It carries licence numbers and their current standing, and the terms on which the company works the ground it operates on.

4. A site visit, diligence both ways, and a signed agreement. Anything serious involves standing on the ground, and we would rather you came than took our word for it. The agreement is drawn by lawyers and sets out contribution, structure, governance and exit.

What each side asks

Each side asks the other for the same four things: registration, beneficial ownership, source of funds, and a track record that can be checked. In gold, the wrong counterparty is a licence risk as well as a commercial one.

The company is privately held by its two directors, and private companies are restricted from inviting the public to subscribe for shares. What this page offers is partnership and joint venture, and the signed agreement is the whole of what binds either side.

Where to start

Start on the contact page. Say what you have and what you want, and name the division.

Ground, figures and counterparties go to a partner under the non-disclosure agreement.
